ZAVA User Agreement

1. Special Statement

This User Agreement (hereinafter referred to as the "Agreement") governs your access to and use of the ZAVA App, the official ZAVA website, and other related digital products and services provided by ZAVA (collectively, the "Services").

This Agreement is entered into by and between you (the "User" or "you") and ZAVA Pte. Ltd., a company duly incorporated and validly existing under the laws of Singapore (hereinafter referred to as "ZAVA," "the Company," "we," or "us").

By registering an account, accessing the platform, or otherwise using any of the Services, you acknowledge that you have fully read, understood, and agreed to be bound by all terms and conditions of this Agreement.

1.1 Effectiveness and Scope of Application

By clicking to confirm, completing the registration process, or otherwise commencing use of the Services, you voluntarily agree to accept and be bound by this Agreement.

This Agreement forms an integral part of the ZAVA platform rules and shall be read and applied together with the Privacy Policy, streamer-related agreements, agency management rules, community guidelines, and any other policies or rules issued by ZAVA from time to time.

Based on business development needs, technical adjustments, or legal and compliance requirements, ZAVA reserves the right to amend this Agreement or to modify, restrict, suspend, or terminate part or all of the Services, including but not limited to interaction features, content display, short-form media, and virtual item systems.

Updated versions of this Agreement will be published via the application or official website and will indicate the latest revision date. Continued use of the Services after such updates constitutes acceptance of the revised terms. If you do not agree, you must immediately discontinue use of the Services.

1.2 Age and Eligibility

You represent and warrant that you are at least 18 years of age, or have reached the age of legal majority in your jurisdiction, whichever is higher.

If it is verified that a minor has used the Services, ZAVA reserves the right to terminate the relevant account without prior notice and to handle related data in accordance with applicable laws.

1.3 Account Security and Responsibility

You are responsible for safeguarding your account information, login credentials, and associated devices, and you shall bear responsibility for all activities conducted through your account.

If you become aware of abnormal login activity, unauthorized access, or other security risks, you must promptly notify ZAVA. Any losses resulting from your failure to properly protect your account information shall be borne solely by you.

1.4 Geographic Restrictions and Compliance Representation

ZAVA does not provide Services to individuals or entities located in jurisdictions subject to international sanctions, export controls, or other legal restrictions, including but not limited to Cuba, Iran, North Korea, Sudan, Syria, and the Crimea region.

You confirm and warrant that your use of the Services does not violate any applicable laws, regulations, international sanctions, or regulatory requirements.

1.5 App Store Terms

If you download, install, or use the ZAVA App via the Apple App Store or Google Play, you must also comply with the relevant terms and policies of such app stores.

In the event of any inconsistency between this Agreement and the app store terms, the app store terms shall prevail.

1.6 Export Control and Sanctions Compliance

You shall not download, use, transfer, re-export, or disseminate any software, technology, or data related to the Services in violation of applicable export control, economic sanctions, anti-terrorism, or anti-money laundering laws and regulations.

2.1 Platform Features and Content

ZAVA provides a service platform centered on digital content and interaction. Users may participate in real-time interactions, content browsing, messaging, virtual gifts, and other activities permitted by ZAVA (collectively, the "Services").

During the operation of the Services, the platform may display various forms of information, including audio, video, text, images, emojis, stickers, and virtual items (collectively, the "Content"). All Content creation, publication, and display must comply with platform configurations, management rules, and applicable laws and regulations.

Any Content, opinions, or statements appearing on the platform represent solely the views of the respective content creators and do not constitute endorsement, warranty, or representation by ZAVA.

ZAVA makes no express or implied warranties regarding the authenticity, legality, completeness, or suitability of user-generated Content and reserves the right to manage, restrict, or remove Content in accordance with legal requirements and platform rules.

2.2 Service Stability and Updates

ZAVA will make reasonable efforts to provide users with secure and stable Services.

Due to system maintenance, technical upgrades, policy changes, or compliance requirements, ZAVA may adjust, restrict, or temporarily suspend all or part of the Services and will provide advance notice where reasonably practicable.

For test features, trial functions, or features not yet formally released, ZAVA may modify, suspend, or discontinue them at any time without guaranteeing continued availability or compatibility.

2.3 Global Access and Data Processing

To ensure proper operation of the Services and cross-regional accessibility, ZAVA may store, transmit, and process data and Content related to the Services on a global basis, including in jurisdictions outside your country or region.

Such data processing activities shall comply with applicable data protection and privacy laws.

3. Accounts

When registering an account, you are required to provide necessary information as requested by the platform for identification and service provision purposes.

You must ensure that all information submitted and subsequently updated is true, accurate, complete, and kept up to date. You are responsible for the use of your account and any consequences arising therefrom.

ZAVA may allow registration or login through third-party services. The collection, use, and disclosure of your information by such third parties are governed by their respective privacy policies.

If you violate this Agreement, engage in unlawful conduct, or adversely affect the platform, ZAVA reserves the right to suspend, restrict, or terminate your account.

If you no longer wish to use the Services, you may apply for account deletion in accordance with platform instructions. Once deleted, account-related data and Content cannot be recovered.

4. Privacy

ZAVA places great importance on user privacy. Please refer to the Privacy Policy for details regarding the collection, use, storage, and protection of personal information.

To maintain platform security and regulatory compliance, ZAVA may use a combination of automated mechanisms and manual review to manage Content and user interactions.

5. Acceptable Use

You must comply with this Agreement, applicable laws and regulations, and platform rules when using the Services.

You agree not to engage in conduct including, but not limited to:

ZAVA reserves the right to take measures such as content removal, feature restriction, service suspension, or account termination in response to violations.

6. Virtual Items

Certain Services may include virtual items, digital rights, or platform credits that may only be used within the ZAVA platform and do not constitute real-world currency or property.

Unless otherwise required by law or third-party platform policies, all virtual item transactions are deemed final and non-reversible.

In cases of fraud, chargebacks, or abnormal transactions, ZAVA may adjust, revoke, or restrict the use of related virtual rights.

7. Payment Terms

ZAVA accepts various approved payment methods, which may be processed by third-party payment service providers.

To comply with legal and regulatory requirements, payment providers may require identity verification. Failure to complete verification may result in transaction failure or feature limitations.

If a payment fails, please verify your information and retry, or contact customer support at support@zavalive.com.

To fulfill anti-money laundering, sanctions screening, and compliance obligations, payment partners may conduct verification procedures or contact you directly. Failure to complete verification may result in restricted functionality.

8. Intellectual Property

The ZAVA platform and all related content are protected by copyright, trademark, and other intellectual property laws.

By uploading or publishing Content, you grant ZAVA a worldwide, non-exclusive, royalty-free license to use such Content for platform operation, display, and service improvement purposes.

9. Termination of Services

To the extent permitted by law, ZAVA may suspend or terminate the provision of Services without prior notice if you violate this Agreement, engage in unlawful conduct, or if termination is required for business or technical reasons.

Upon termination, account-related features or virtual items may be revoked or rendered inaccessible, and ZAVA shall not be liable for any resulting losses.

10. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. ZAVA makes no warranties regarding the continuity, accuracy, stability, or suitability of the Services.

To the maximum extent permitted by law, ZAVA shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Singapore.

Any dispute arising out of or in connection with this Agreement shall first be resolved through good-faith negotiation. If no resolution is reached, the dispute shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its then-effective arbitration rules. The arbitration language shall be English, and the arbitral award shall be final and binding.

12. Miscellaneous

This Agreement constitutes the entire agreement between you and ZAVA regarding the Services.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
